Please read these Terms of Use (“Terms”) carefully because they serve as an agreement between Pharmalytics LLC and You, and describe your rights and the conditions upon which you may use the Pharmalytics software. To make these Terms easier to read, our services and Platform are collectively called the “Services.”
Services
Pharmalytics LLC provides a comprehensive data analytics and compliance platform purpose-built for pharmacies. The Pharmalytics Platform delivers real-time visibility into dispensing patterns, payer reimbursements, and prescriber behavior to help pharmacies identify risk and maintain regulatory compliance. Designed with a focus on controlled-substance monitoring and CSMP (Controlled Substance Monitoring Program) preparedness, Pharmalytics aggregates and analyzes de-identified dispensing data to surface actionable insights. The Platform empowers pharmacy owners and compliance teams to proactively detect anomalies, document due diligence, and demonstrate compliance readiness to wholesalers, PBMs, and regulatory bodies — all within a secure, cloud-based environment.
Agreement to Terms
By using our Services, You agree to be bound by these Terms. If You do not agree, please discontinue use of the Services.
By using the Services, You agree and consent that Pharmalytics LLC may create and share aggregated, de-identified data in accordance with HIPAA de-identification standards (45 CFR §164.514). Pharmalytics LLC will never share identifiable or re-identifiable data. Pharmalytics LLC will never share personally identifiable information without your written consent.
No Advice or Endorsements
Pharmalytics LLC provides tools and data analytics to assist your independent evaluation of pharmacy operations. We do not provide medical, legal, or business advice, nor endorse any specific vendor, consultant, or product. Any reliance on information from our Platform is solely at your own risk.
Pharmalytics provides data analytics, reports, dashboards, and insights for informational purposes only. Pharmalytics does not provide medical, legal, regulatory, compliance, or business advice. All decisions regarding dispensing, prescriber actions, inventory, controlled-substance compliance, CSMP preparation, or regulatory reporting are solely the responsibility of the pharmacy and its licensed personnel. Pharmalytics does not guarantee compliance with federal or state law.
No Warranties
The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. Pharmalytics disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, accuracy of data, and non-infringement.
Limitation of Liability
Pharmalytics LLC assumes no responsibility for information provided or entered into the Platform by You or others. By using the Services, You agree to hold Pharmalytics LLC, its officers, employees, and affiliates harmless from and against any claims, losses, or damages resulting from such information or actions based upon it. To the maximum extent permitted by law, Pharmalytics’ total liability for any claim arising out of or related to the Services shall not exceed the total fees paid by the customer in the preceding 12 months.
Mobile and Data Security
You are responsible for securing your devices that access the Pharmalytics Platform. Use of unsecured Wi-Fi, loss or theft of your devices, or unauthorized access may expose your data to risk. Pharmalytics LLC cannot control such risks and is not liable for damages resulting from security breaches originating from your devices.
Service Availability
Pharmalytics does not guarantee uninterrupted or error-free access to the Platform. Scheduled or unscheduled maintenance, outages, or disruptions may occur. Pharmalytics is not liable for downtime or any resulting impact on your business operations.
SMS Terms & Conditions
By opting in to receive text messages from Pharmalytics LLC (“Pharmalytics,” “we,” “us”), you agree to the following terms:
1. Consent to Receive SMS Messages
By providing your mobile phone number and opting in through an online form, sign-up page, or other consent mechanism, you authorize Pharmalytics to send you SMS or MMS messages related to:
- Account notifications
- Security alerts or authentication messages
- Service updates or platform information
- Optional marketing or promotional messages (only if you opt in to marketing)
Your consent to receive SMS messages is not a condition of purchasing any goods or services.
2. Use of Automated Technology
By opting in, you acknowledge that Pharmalytics may send text messages using automated dialing systems, automated technology, or prerecorded content, as permitted by law.
3. Message Frequency
Message frequency varies.
You may receive recurring automated text messages depending on your account activity, security settings, and notification preferences.
4. Opt-Out Instructions
You may opt out of SMS messages at any time by replying:

After you send “STOP,” you will receive one final confirmation message stating that you have been unsubscribed. No further SMS messages will be sent unless you opt in again.

6. Message & Data Rates
Message and data rates may apply according to your mobile carrier’s plan. Pharmalytics is not responsible for these charges.
7. Information We Collect

Phone numbers obtained for SMS purposes are not shared with third parties for marketing and are only used for communication as described in this section.

8. Carrier Disclaimer

You must be the mobile account holder or have permission from the account holder to opt in.

Pharmalytics may revise these SMS Terms at any time. Updated terms will be posted on our website, and continued participation constitutes acceptance of the updated terms.
Your Account
Pharmalytics LLC enables You to create an account (“Account”) to access your pharmacy’s data and analytics. You must comply with all applicable laws governing the storage and transmission of confidential information. You acknowledge Pharmalytics owns the platform and analytics output, however, you retain ownership of your underlying pharmacy data.
Ownership and License
Pharmalytics LLC grants You a non-transferable, non-exclusive, revocable, limited license to access and use the Services solely for internal business use. All intellectual property rights, including trademarks, copyrights, and trade secrets, remain the property of Pharmalytics LLC.
Analytics outputs that contain or are derived from identifiable or de-identifiable PHI are owned by the Covered Entity and are processed solely on its behalf under the Business Associate Agreement. Analytics outputs that are fully de-identified in accordance with 45 CFR §164.514 and cannot be re-identified are owned by Pharmalytics LLC.
Indemnification
You agree to indemnify, defend, and hold harmless Pharmalytics LLC, its officers, directors, and employees, from any claims, losses, or liabilities arising from your use of the Services or violation of these Terms.
Pharmalytics does not knowingly provide services to any person located in the EU or UK. If you are located in the EU or UK, do not use the Pharmalytics Platform.
Privacy Policy
Please refer to the Pharmalytics Privacy Policy for information on how we collect, use, and disclose information from users. By using the Services, you agree to the Privacy Policy.
Beta Services
Some portions of the Services may be offered as beta features. Such features may contain errors or may be modified or discontinued without notice.
Changes to Terms or Services
Pharmalytics LLC may modify these Terms or the Services at any time. Notice of material changes will be provided through the Platform or email. Continued use of the Services constitutes acceptance of the modified Terms.
Dispute Resolution
All disputes arising out of or relating to these Terms or the Services will be resolved exclusively through binding arbitration administered by JAMS. Arbitration will take place in Hillsborough County, Florida. The arbitrator has exclusive authority to resolve any dispute relating to interpretation, enforceability, or scope of this clause. The parties waive any right to a jury trial or class action. Court involvement is limited solely to enforcing an arbitration award.
